Job Description

SunTrust seeks an attorney to join its Legal Department to support the Company’s leading middle market investment banking business, SunTrust Robinson Humphrey. The position is based in SunTrust’s Atlanta headquarters.

The successful candidate will join a team of attorneys providing legal support for SunTrust Robinson Humphrey’s Sales & Trading, Debt & Equity Capital Markets and M&A Advisory businesses. This position will be broadly responsible for providing practical and cost-effective legal services in a dynamic investment banking environment.

The support of SunTrust Robinson Humphrey’s Sales & Trading business involves advising a wide variety of stakeholders in the institution including the various Sales & Trading businesses, risk functions and the master agreement negotiation and collateral management teams. Legal services will include: (i) drafting, reviewing and negotiating contracts, (ii) undertaking legal research and analysis, (iii) providing guidance on new product development, (iv) managing any contentious matters, and (vii) drafting and/or reviewing internal policies and risk management procedures.

In connection with supporting SunTrust Robinson Humphrey’s Debt & Equity Capital Markets business, this position will be responsible for: (i) advising Debt and Equity Capital Markets teams on securities law matters, (ii) drafting, reviewing and negotiating contracts, and (iii) undertaking legal research and analysis.

The position will also help support the M&A Advisory business of SunTrust Robinson Humphrey. This support will include drafting and negotiating engagement letters, advising with respect to conflicts of interest, updating legal agreement forms, keeping the business apprised of relevant legal developments and providing legal support in connection with the issuance of fairness opinions, reviewing board materials and preparing and reviewing proxy disclosures with respect to fairness opinions.

Qualifications

Minimum Qualifications:


JD from an accredited law school, excellent academic credentials and current member in good standing with Georgia or other state bar


A minimum of 3-5 years legal M&A, securities and/or derivatives transactional experience in large law firm environment or corporate legal department


Well-organized self-starter able to handle multiple projects simultaneously and meet deadlines


Capable of working independently with little supervision


Strong analytical skills and ability to balance business needs with legal risks


Ability to effectively communicate ideas and strategies with senior executives


Excellent verbal and written communication skills with particular emphasis on contract drafting abilities


Strong negotiation skills
