ActiveProspect is seeking our first in-house General Counsel to join our growing legal & security team. Reporting directly to the CFO, you will own the full legal playbook for ActiveProspect. Responsibilities and Duties
Draft and negotiate agreements (Terms of Service, Order Forms, Statements of Work, End User License Agreements) for global sales and partnership transactions, principally enterprise SaaS and services agreements;
Partner with the global sales teams in closing deals with our customers and partners, with the ability to manage multiple projects under deadline pressure;
Review partner program agreements and documentation, for various channels including reseller, referrals, among others;
Advise on legal, regulatory and reputational topics across the full range of company transactions, domestic and cross-border, with particular emphasis on data security and privacy matters ;
Work closely with the Director of Security, Privacy, and Compliance to draft, manage and maintain key internal compliance policies and controls;
Update documentation to adapt to new products, services and changes in commercial relationships or programs;
Participate in preparing and presenting training materials and sessions;
Contribute to team on anticipating issues and estimating risks strategically, and identifying proactive solutions that will eliminate or mitigate risks;
Assist with the implementation of tools to maximize efficiency of the legal process including tracking non-standard and unqie contract term obligations;
Serve as the primary point of contact with any external counsel.
Qualifications and Skills
Admitted to the bar and in good standing or otherwise authorized to practice law in the State of residence;
3-5 years experience in the SaaS/enterprise software licensing industry;
Experience working closely and effectively with sales teams in deadline-driven environments, and effectively managing quarter-end and year-end responsibilities;
Solid understanding of regulatory issues impacting global software company, in particular, domestic and international privacy and data protection standards such as GDPR;
Experience with Telephone Consumer Privacy Act (TCPA) and Canada’s Anti-Spam Law (CASL) a plus
Ability to quickly grasp business objectives, prioritize and organize work autonomously;
Ability to develop a thorough understanding of company products and services;
Strong ethical practice and commitment to professional responsibility;
Experience in implementing tools and solutions to modernize processes and controls within a Legal team or other organization;
Excellent user of Google Suite, experience with Slack and Salesforce would be a plus.
